Welcome to Evento. These Terms of Service ("Terms") govern your access to and use of the Evento platform, including our website, mobile applications, and related services (collectively, the "Service"). By accessing or using Evento, you agree to be bound by these Terms.

Please read these Terms carefully. If you do not agree to these Terms, you may not access or use the Service.

1. Acceptance of Terms

By creating an account, accessing, or using Evento, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are using Evento on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website or by sending you an email. Your continued use of the Service after such changes constitutes your acceptance of the new Terms.

2. Eligibility

To use Evento, you must be at least 16 years old. If you are under 18, you represent that you have your parent or guardian's permission to use the Service. By using Evento, you represent and warrant that:

  • You are at least 16 years of age
  • You have the legal capacity to enter into a binding agreement
  • You are not prohibited from using the Service under applicable laws
  • Your use of the Service will not violate any applicable law or regulation

3. User Accounts

3.1 Account Creation

To access certain features of Evento, you must create an account. When creating your account, you agree to:

  • Provide accurate, current, and complete information
  • Maintain and promptly update your account information
  • Keep your password secure and confidential
  • Notify us immediately of any unauthorized access to your account
  • Accept responsibility for all activities that occur under your account

3.2 Account Security

You are responsible for maintaining the security of your account credentials. Evento will not be liable for any loss or damage arising from your failure to protect your account information. We recommend using a strong, unique password and enabling any available security features.

3.3 Account Termination

You may delete your account at any time through your account settings. We reserve the right to suspend or terminate your account if you violate these Terms, engage in fraudulent activity, or for any other reason at our sole discretion.

4. Event Listings and Registrations

4.1 For Event Organizers

If you create events on Evento, you agree to the following:

  • Accuracy: All event information must be accurate, complete, and not misleading. This includes event titles, descriptions, dates, times, locations, and pricing.
  • Authorization: You must have the legal right to host the event and list it on our platform.
  • Compliance: Your events must comply with all applicable local, state, national, and international laws and regulations.
  • Attendee Data: You will handle attendee information in accordance with applicable privacy laws and will not misuse registrant data.
  • Honor Registrations: You agree to honor all registrations made through Evento and provide attendees with the experience described in your listing.
  • Updates: You will promptly update event information if details change and notify registered attendees of material changes.
  • Cancellations: If you cancel an event, you must notify all registered attendees promptly and handle any refunds according to your stated policy.

4.2 For Attendees

If you register for events on Evento, you agree to the following:

  • Accurate Information: You will provide accurate registration information.
  • Ticket Terms: Your registration is subject to the event organizer's terms, including any cancellation or refund policies.
  • Ticket Codes: Your ticket code is personal and non-transferable unless otherwise specified by the organizer.
  • Event Rules: You will comply with any rules or requirements set by the event organizer.
  • Responsibility: You attend events at your own risk and are responsible for your own conduct.

4.3 Evento's Role

Evento provides a platform for event discovery and registration. We are not the organizer of events listed on our platform (unless explicitly stated) and do not control the content, quality, safety, or legality of events. We do not guarantee that events will occur as described or at all.

5. Prohibited Conduct

You agree not to engage in any of the following prohibited activities:

5.1 Fraudulent or Deceptive Activities

  • Creating fake events or misleading event listings
  • Providing false information in your profile or event registrations
  • Impersonating another person or entity
  • Engaging in ticket scalping or unauthorized resale
  • Using Evento for any fraudulent or illegal purpose

5.2 Harmful Content

  • Posting content that is defamatory, obscene, or offensive
  • Promoting violence, discrimination, or illegal activities
  • Harassing, threatening, or intimidating other users
  • Posting spam or unsolicited commercial messages
  • Uploading content that infringes intellectual property rights

5.3 Technical Abuse

  • Attempting to gain unauthorized access to our systems or other users' accounts
  • Using automated scripts, bots, or scrapers without permission
  • Interfering with or disrupting the Service or servers
  • Circumventing security features or access restrictions
  • Transmitting malware, viruses, or other harmful code
  • Reverse engineering or attempting to extract source code

5.4 Data Misuse

  • Collecting or harvesting user information without consent
  • Using attendee data for purposes other than event management
  • Selling or sharing user data with third parties without authorization

6. Content and Intellectual Property

6.1 Evento's Intellectual Property

The Evento Service, including its design, logos, trademarks, text, graphics, software, and all other content created by Evento, is owned by Evento Inc. and protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of our Service without our prior written consent.

6.2 Your Content

You retain ownership of content you create on Evento (such as event listings, descriptions, and images). By posting content on Evento, you grant us a worldwide, non-exclusive, royalty-free license to use, display, reproduce, and distribute your content in connection with operating and promoting the Service.

You represent and warrant that you own or have the necessary rights to all content you post, and that your content does not infringe the intellectual property rights of any third party.

6.3 DMCA and Copyright Complaints

If you believe that content on Evento infringes your copyright, please send a notice to our designated copyright agent at copyright@evento.com with the following information:

  • Identification of the copyrighted work claimed to be infringed
  • Identification of the allegedly infringing material and its location on Evento
  • Your contact information (name, address, phone number, email)
  • A statement that you have a good faith belief that the use is not authorized
  • A statement, under penalty of perjury, that your notice is accurate
  • Your physical or electronic signature

7. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

EVENTO DOES NOT WARRANT THAT:

  • The Service will be uninterrupted, secure, or error-free
  • The results obtained from the Service will be accurate or reliable
  • Any events listed will take place as described or at all
  • The quality of events will meet your expectations
  • Any errors in the Service will be corrected

EVENTO IS NOT RESPONSIBLE FOR THE CONDUCT OF EVENT ORGANIZERS OR ATTENDEES, EITHER ONLINE OR OFFLINE.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, EVENTO AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

  • Loss of profits, revenue, data, or business opportunities
  • Personal injury or property damage related to events
  • Unauthorized access to or alteration of your data
  • Any third-party conduct on the Service
  • Any other matter relating to the Service

IN NO EVENT SHALL EVENTO'S TOTAL LIABILITY TO YOU EXCEED THE GREATER OF (A) THE AMOUNTS YOU HAVE PAID TO EVENTO IN THE TWELVE (12) MONTHS PRIOR TO THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES OR LIMITATION OF LIABILITY, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

9. Indemnification

You agree to indemnify, defend, and hold harmless Evento Inc. and its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any rights of another person or entity
  • Events you organize or attend through the Service
  • Any content you post on the Service

10. Dispute Resolution

10.1 Informal Resolution

Before filing a formal legal claim, you agree to contact us at disputes@evento.com to attempt to resolve the dispute informally. We will attempt to resolve the dispute within 60 days.

10.2 Arbitration Agreement

If we cannot resolve the dispute informally, you and Evento agree to resolve any disputes through binding arbitration, rather than in court, except that either party may bring claims in small claims court if eligible. The arbitration will be conducted by JAMS under its Streamlined Arbitration Rules.

10.3 Class Action Waiver

You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms will be brought exclusively in the federal or state courts located in Delaware, and you consent to personal jurisdiction and venue in such courts.

12. General Provisions

12.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Evento regarding the Service and supersede all prior agreements and understandings.

12.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

12.3 No Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

12.4 Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.
